Daming Group has always been committed to building up business cooperation relationships of honesty and trustworthiness, fair competition and compliance with laws and regulations.Daming Group and Cooperative Partners(“the Partner”) work together to protect their respective and common legitimate rights and interests and ensure healthy and orderly development of commercial cooperation between both parties.The Partner should work together with Daming Group to constrain both parties' employees and strive for integrity and self-discipline.

All Partners who may provide products and/or services to or engage in other business cooperation with Daming Group (including all subsidiaries and branches under Daming International Holdings Limited) shall accept the corresponding supervision, assessment, penalty and handling by Daming Group. Daming Group reserves the right to terminate the cooperation relationship with the Partner in case of any violation.
所有可能向365英国上市集团（包括365英国上市国际控股有限公司旗下的所有分、子公司）提供产品及/或服务或开展其他365英国上市官网务合作的合作方，均应接受365英国上市集团相应的监督、考核、处罚及处理，365英国上市集团保留因任何违反行为而与合作方终止合作的权利。
Compliance with the Standards of Business Conduct of Daming Group shall be commitment made by the Partner and its affiliated companies to Daming Group, regardless of whether a business relationship has been established or is still in existence.
遵守本商365英国上市官网行为准则是合作方及关联公司共同向365英国上市集团作出的承诺，不论是否产生365英国上市官网务关系、365英国上市官网务关系是否存续。
Anti Commercial Bribery
反商365英国上市官网贿赂
Daming Group opposes any form of commercial bribery. Herein the Partner agrees to abide by the following commitments:
365英国上市集团反对任何形式的商365英国上市官网贿赂。在此，合作方同意遵守如下承诺：
1. Not to bribe personnel with labor relations, labor service relations, labor dispatch relations, or commission relations within Daming Group(“Daming personnel”) in the form of money (hereinafter referred to as Daming personnel) in monetary forms. Monetary bribery refers to,including but not limited to,paying cash, gifting bank cards, securities, shopping cards, entertainment venue membership cards, discount cards, etc.
不以金钱方式贿赂365英国上市集团有劳动关系、劳务关系、劳务派遣关系、委托关系的人员（以下简称“365英国上市人员”）。金钱方式贿赂是指：包括但不限于支付现金、赠与银行卡、有价证券、购物卡、娱乐场所会员卡、打折卡等。
2. Not to bribe Daming personnel in physical forms.Physical bribery refers to,including but not limited to,giving or lending housing, household appliances, communication and digital devices, clothing and bags, office supplies, food, tobacco, alcohol, tea and candies, handicrafts, daily necessities, etc.
不以实物方式贿赂365英国上市人员。实物方式贿赂是指：包括但不限于赠送或出借住房、家用电器、通讯数码、服饰包、办公用品、食品烟酒茶糖、工艺品、日用品等。
3. Not to bribe Daming personnel through consumption. Bribery of consumption refers to,including but not limited to,banquets, entertainment consumption, tourism, domestic or foreign inspections, etc.
不以消费方式贿赂365英国上市人员。消费方式贿赂是指：包括但不限于宴请、娱乐消费、旅游、国内或国外考察等方式。
4. Not to bribe Daming personnel in any other forms,Including but not limited to,providing various benefits, lottery activities, intentionally losing money in gambling, sexual bribery, etc.
不以其他任何方式贿赂365英国上市人员。包括但不限于提供各种好处、活动抽奖、赌博中故意输钱、性贿赂等方式。
5. Not to give kickbacks to units or personnel of Daming Group.
不得给予365英国上市集团单位或者人员回扣。
6. Commercial bribery also includes providing property, benefits, and employment opportunities to close relatives of Daming personnel for the purpose of seeking improper benefits.
商365英国上市官网贿赂行为还包括为谋取不当利益，向365英国上市人员的近亲属提供财物、利益及就365英国上市官网机会。
7. If the Partner finds out that its personnel have engaged in the above-mentioned behaviors,regardless of the purposes, it shall notify Daming Group as soon as possible.
如合作方发现其人员出现上述行为，无论是基于何种目的，均应在第一时间通报365英国上市集团。
8. Based on business practices, the gifts given by the Partner to Daming personnel can only be souvenirs with a value less than RMB200 yuan.
基于商365英国上市官网惯例，合作方向365英国上市人员赠与的礼品只能是价值小于200元的纪念品。
9. If the Partner or its staff violates its commitment,the Partner shall pay a penalty of not less than 10 times the bribe amount (no less than RMB 100,000yuan) to Daming Group. At the same time, Daming Group has the right to temporarily suspend all business, payments, and cooperation with the Partner and to deduct the above-mentioned penalty from the payable amount in priority. If the payable amount is insufficient, the Partner shall make up the amount within 3 working days. If it causes other losses to Daming Group, the Partner still has the obligation to make full compensations.
合作方或其工作人员违反承诺的，合作方应向365英国上市集团支付不少于行贿金额10倍金额的违约金（最少不低于人民币10万元），同时，365英国上市集团有权暂时冻结与合作方的所有365英国上市官网务、付款等所有合作，并有权从应付款中优先扣除上述违约金，不足的由合作方在3个工作日内补足，如给365英国上市集团造成其他损失的，合作方仍负有全面赔偿义务。
10. If the Daming personnel take or demand bribes, the Partner has the obligation to report to Daming Group.The failure to report shall be punished as bribery.
365英国上市人员收受、索要贿赂的，合作方有义务向365英国上市集团举报。未举报的，按行贿论处。
11. Daming Group has a dedicated department to investigate and handle commercial bribery incidents.The Partner must unconditionally and earnestly cooperate with Daming Group's various investigations into commercial bribery, or it will be considered as violation and the Partner will be included in Daming Group's list of dishonest partners.
